Why is a statutory audit mandatory for Sdn Bhd companies in Malaysia?
Under Section 267 of the Companies Act 2016, every private limited company (Sdn Bhd) in Malaysia must appoint an approved company auditor to provide an independent opinion on its financial statements. Even for companies not seeking bank loans, a statutory audit ensures transparency for shareholders and compliance with SSM regulations, helping to avoid heavy penalties for late filing.
What are the new audit exemption criteria for Malaysian SMEs in 2026?
As of 2026, the audit exemption thresholds have been updated to support micro-SMEs. A private company may qualify if it meets at least two of the following: annual revenue not exceeding RM2,000,000, total assets under RM2,000,000, and no more than 20 full-time employees. However, exempt companies must still prepare unaudited financial statements in accordance with MPERS.
